01 Acceptance of these terms

These Terms of Service ("Terms") are a binding agreement between you and Razor Alpha ("Razor Alpha", "we", "us"), the operator of razoralpha.io and its associated apps and services (the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

02 What Razor Alpha is

Razor Alpha is a cryptocurrency market-scanning, charting, alerting, and community platform. It surfaces technical patterns and signals generated by automated scanners, lets you track and chart markets, set price alerts, share ideas in community chat, and participate in gamified features. It also offers a store where you can buy downloadable indicators and subscribe to Telegram signal feeds. The Service is provided for informational and educational purposes only.

Signals, scores, scanner output, backtests, and any performance figures are generated automatically and may be delayed, incomplete, or wrong. They are not guarantees of future results.

03 No financial advice

Razor Alpha is not a broker, dealer, investment adviser, or financial institution, and provides no investment, legal, tax, or accounting advice. Nothing on the Service is a recommendation, solicitation, or offer to buy or sell any asset.

Cryptocurrency markets are volatile and you can lose some or all of your capital. You should do your own research and consider seeking advice from a licensed professional before making any trading decision. Any action you take based on the Service is taken at your own risk.

04 Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and legally able to enter into this agreement. You may not use the Service where doing so would be unlawful, or if you are barred from using it under applicable sanctions or export-control laws. You are responsible for complying with the laws of your own jurisdiction, including any rules on crypto-asset trading.

05 Accounts & security

Some features require an account. You agree to provide accurate information and to keep your login credentials confidential. You are responsible for all activity under your account. Tell us promptly at [email protected] if you suspect unauthorized use. We may refuse, suspend, or reclaim usernames and may close accounts that are inactive, duplicative, or created to abuse the Service.

06 Razors & paid features

Razors are an in-platform virtual unit used to access certain features (for example, premium scans, unlocks, and competitions). They have a reference value of $0.01 per razor for pricing purposes only.

• Razors are a limited, revocable, non-transferable licence to use features within the Service. They are not money, not a deposit, not e-money, not a security, and confer no ownership or interest in us.
• Razors have no cash value outside the Service and cannot be redeemed, withdrawn, or exchanged for currency except where required by law.
• Purchases of razors are processed by our third-party payment provider (see §10). We do not store your full payment details.
• Buying razors: purchases of razors (top-ups made with money through our payment provider) are final and non-refundable except where required by law.
• Store purchases: indicators and scripts bought with razors in the store are delivered as a downloadable Pine Script (.pine) source file, as access to a Telegram signal feed, and/or (for some items) as an invite to a third-party TradingView script. Because downloadable files and consumed signal periods cannot be returned, store purchases are final and non-refundable, except where required by law or granted by us at our discretion.
• Subscriptions (including Telegram alerts subscriptions) renew automatically until cancelled. You can cancel at any time from your library to stop future billing; cancelling ends access at the end of the current paid period and does not refund the current or any past period.
• Prices and the features razors unlock may change at any time. Promotional or bonus razors may expire or carry conditions.

We may adjust, expire, or reverse razor balances to correct errors, reverse fraudulent or abusive activity, or comply with law.

07 Acceptable use

You agree not to:

• Break any law, infringe anyone's rights, or use the Service to facilitate market manipulation, "pump and dump" schemes, or fraud;
• Scrape, crawl, or harvest data, or access the Service through automated means except via interfaces we expressly provide;
• Reverse-engineer, decompile, interfere with, overload, or attempt to gain unauthorized access to the Service or its infrastructure;
• Resell, sublicense, or commercially exploit the Service or its output without our written permission;
• Create multiple or automated accounts to abuse referrals, competitions, razors, or other features (sybil activity);
• Post unlawful, abusive, harassing, hateful, deceptive, or spam content, or impersonate others.

08 Your content & the chat floor

The Service includes community areas (such as chat and shared signals) where you can post content. You keep ownership of what you post, but you grant us a worldwide, non-exclusive, royalty-free licence to host, display, and distribute it within the Service so it functions as intended.

You are responsible for your content and must have the rights to post it. Content you share is not investment advice and does not reflect our views. We may moderate, remove, or restrict content and may use automated and human moderation, but we are not obligated to monitor and are not liable for user-posted content.

09 Intellectual property

The Service, including its software, scanners, designs, text, graphics, the Razor Alpha name and branding, are owned by us or our licensors and are protected by intellectual-property laws. We grant you a personal, limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose. All rights not expressly granted are reserved.

Indicators, scripts, and other files you buy in the store are licensed to you, not sold — a personal, non-exclusive, non-transferable, revocable licence to use them on your own accounts for your own trading. Each downloadable file is watermarked with your handle and purchase reference. You may not resell, share, sublicense, publish, or otherwise redistribute the files or their source code, in whole or in part, publicly or privately, including republishing them to any third-party script library (renamed or otherwise). We may revoke this licence and your access, without refund, if you breach these Terms. All source code remains © Razor Alpha, all rights reserved.

10 Third-party data & services

The Service relies on third parties, including market-data and exchange sources, payment processing, hosting, authentication, and verification providers. Their data may be delayed or inaccurate, and their services are governed by their own terms. We are not responsible for third-party content, availability, or actions. Links to third-party sites are provided for convenience only.

11 Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or that any signal, alert, price, or figure is accurate or timely. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.

12 Limitation of liability

To the maximum extent permitted by law, we and our officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any trading losses, lost profits, lost data, or loss of goodwill, arising from your use of (or inability to use) the Service.

To the extent liability cannot be excluded, our total aggregate liability is limited to the greater of the amount you paid us in the 12 months before the claim or USD 100. Nothing in these Terms limits liability that cannot be limited by law.

13 Indemnity

You agree to indemnify and hold us harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your breach of these Terms or of any law or third-party right.

14 Suspension & termination

You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, create risk or legal exposure, or for any lawful operational reason. On termination, your licence to use the Service ends. Provisions that by their nature should survive (including ownership, disclaimers, liability limits, and indemnity) will survive.

15 Changes to the service & terms

We may modify, suspend, or discontinue any part of the Service at any time. We may also update these Terms; when we do, we will revise the "Last updated" date and, for material changes, take reasonable steps to notify you. Continued use after changes take effect means you accept the updated Terms.

16 Governing law

These Terms are governed by applicable law. Nothing in these Terms affects any mandatory consumer-protection rights you have under the law of your home jurisdiction, including any right to bring a claim there.
